These Terms & Conditions (“Terms”) govern your access to and use of the Site, any associated content, and any services provided by Same Leads New Sales LLC (collectively, the “Services”). By accessing, browsing, or using any part of this Site — including booking a call, submitting information, or interacting with automated tools — you agree to be bound by these Terms.

If you do not agree, do not use the Site.

1. Eligibility

You must be at least 18 years old and a legally authorized representative of a business entity in the United States to use our Services.

2. Description of Services

Same Leads New Sales LLC provides:

Done-for-you AI automation tools

Lead reactivation services

AI-powered SMS appointment-setting services

Consulting and integration support

Performance-based booked-appointment generation

All Services may require additional agreements, including our “Partnership Agreement,” which governs performance guarantees, revenue promises, pricing, and payment obligations.

3. Relationship to Partnership Agreement

Any revenue guarantee, performance guarantee, refund eligibility, or financial obligation is not controlled by these Terms, and is governed exclusively by the written Partnership Agreement signed between the client and Same Leads New Sales LLC.

These Terms do not modify, override, or expand the Partnership Agreement.

4. User Obligations

To use our Services or receive performance results, users must:

Provide complete and accurate information

Confirm all leads supplied were collected legally under TCPA and other laws

Confirm all leads provided have appropriate opt-in consent for SMS

Provide lead lists, CRM access, and A2P messaging verification details if requested

Maintain valid payment information

You agree that you are solely responsible for the accuracy, legality, and integrity of all data you provide.

5. Payments & Billing

Payments may be collected via:

Stripe

ACH

Invoice

Charges may include:

A one-time setup fee per automation tool

Bi-weekly performance fees per booked appointment

Actual amounts, deliverables, timelines, and guarantees are defined in the Partnership Agreement.

No-Chargeback Policy

By using our Site or Services, you agree not to initiate any chargeback or payment reversal through Stripe, your bank, or any financial institution.

All disputes must be handled through the agreed dispute resolution method outlined in these Terms and/or the Partnership Agreement.

Unauthorized chargebacks will be considered breach of contract.

6. Refund Policy

Refunds are governed exclusively by the Partnership Agreement.

In general, a refund of the setup fee applies if:

We fail to generate the specified revenue results

Within the specified time frame

And all client obligations are fulfilled

Performance fees are typically non-refundable unless explicitly stated otherwise in the Partnership Agreement.

7. No Warranties & Results Disclaimer

Except for guarantees explicitly stated in the Partnership Agreement, all Services are provided “as is” and “as available.”

We make no guarantee regarding:

Your close rate

Sales results

Lead quality

Customer behavior

CRM issues

Technical integration issues

Marketing performance

ROI

The only binding guarantees are those outlined in the signed Partnership Agreement.

8. SMS & TCPA Compliance

By using our Services, you acknowledge:

You (the client) are solely responsible for confirming legal opt-in consent from your leads.

You agree to indemnify Same Leads New Sales LLC against any SMS-related complaints, fines, penalties, or claims.

You are responsible for ensuring the leads you provide were collected in compliance with the TCPA, CTIA, and all applicable U.S. laws.

We do not accept liability for texting individuals without proper consent if the data originated from you.

9. Client Performance Requirements

When engaging in any performance-based program or guarantee:

Clients must meet the eligibility requirements defined in the Partnership Agreement, which generally include:

Minimum 1,000 leads less than 3 months old

Minimum 20% close rate for booked appointments

Reasonable availability and responsiveness

Providing accurate revenue and conversion metrics

Providing access to necessary systems

Failure to meet these conditions voids any guarantee.

10. Data Privacy & Processing

We store and process lead lists, emails, phone numbers, and business details for the purpose of delivering the Services.

We do not sell or share client data.

A formal Data Processing Addendum (DPA) is available upon request or may be incorporated as part of the Partnership Agreement.

11. Intellectual Property

All materials created by Same Leads New Sales LLC — including:

AI automations

Scripts

Messaging flows

Creative content

Internal processes

Website content

— remain the sole intellectual property of Same Leads New Sales LLC. Clients receive a limited, non-transferable license to use such materials for their internal business operations only. Unauthorized redistribution, copying, or resale is prohibited.

12. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, consequential, or punitive damages.

We are not liable for lost data, lost profits, lost revenue, or business interruption.

Our total liability is limited to the amount you paid to us under the Partnership Agreement for the specific service giving rise to the claim.

13. Indemnification

You agree to indemnify and hold Same Leads New Sales LLC harmless from any claims arising from:

Your misuse of the Services

Your texting of leads without valid consent

Your violation of any applicable laws

Your breach of these Terms or the Partnership Agreement

14. Termination of Access

We reserve the right to terminate or restrict access to the Site or Services for any client who:

Violates these Terms

Violates the Partnership Agreement

Engages in fraud or abusive chargeback behavior

Provides false or misleading information

No refunds will be issued for terminations due to client misconduct.

15. Governing Law

These Terms are governed by the laws of all 50 U.S. states, with primary jurisdiction based in the State of Wyoming.

16. Dispute Resolution

All disputes must be resolved via Small Claims Court, unless otherwise required by the Partnership Agreement.

Class Action Waiver

You agree not to participate in any class action, class arbitration, or collective lawsuit against Same Leads New Sales LLC.

17. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on this Site with a new “Last Updated” date.

Continued use of the Site constitutes acceptance of the updated Terms.
